These Terms of Use apply to your use of the majool.co website located at https://www.majool.co/ (the "Site"). The Site is the property of Majool Inc. By checking the "I agree with Terms & Conditions" box, placing an order or using the Site, you agree to these Terms of Use. If you do not agree, do not use the Site.

Majool.co may change, add or remove parts of these Terms of Use at any time, at its sole discretion. It is your responsibility to check these Terms of Use each time you use the Site. Your continued use of the Site after changes are posted means you accept the changes. All purchases are subject to the Terms of Use in effect at the time of the purchase. As long as you follow these Terms of Use, Majool.co grants you ("End User") a personal, non-exclusive, non-transferable, non-sublicensable, limited right to enter and use the Site.

1. Content; Copyright and Trademark Notice

All media, software, text, images, graphics, user interfaces, music, videos, photographs, trademarks, logos, artwork and other content on the Site (collectively, "Content"), including the design, selection, arrangement and coordination of the Content, is owned or licensed by or to Majool.co and is protected by copyright, trade dress, trademark and other intellectual property laws. Except as expressly provided in these Terms of Use, no part of the Site and no Content may be reproduced, recorded, retransmitted, sold, rented, broadcast, distributed, published, uploaded, posted, publicly displayed, altered to make new works, performed, digitized, compiled, translated or transmitted in any way to any other computer, website or other medium, or for any commercial purpose, without Majool.co's prior express written consent. You are not granted any rights or license to patents, copyrights, trade secrets, trade dress, rights of publicity or trademarks in any Content, and Majool.co reserves all rights not expressly granted. Product names, logos and brands of manufacturers shown on the Site belong to their respective owners. Majool.co disclaims all responsibility and liability for your use of any Content obtained on or in connection with the Site.

2. Customer Accounts; Use of Site

You can place orders as a guest or with a customer account ("My Account"). Some features of the Site may require a My Account. If you create one, you are responsible for keeping your account information, including your password, confidential, and for all activity under your account. You agree to notify Majool.co immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Majool.co or any other user of the Site because someone else used your password or account. You may not use anyone else's password or account at any time.

You agree to provide accurate, current and complete information about yourself, your organization (if you buy for one) and your billing and shipping details. You may not attempt to gain unauthorized access to the Site, or help others do so. You may not use any automatic device, program, algorithm or method, or any similar manual process, to access, acquire, copy, probe, test or monitor any part of the Site or any Content, or to get around the Site's navigation or presentation to obtain materials or information not purposely made available through the Site. You agree not to take any action that places an unreasonable or disproportionately large load on the Site or its systems.

Majool.co may, at its sole discretion and without prior notice, end your access to the Site and your My Account for any reason, including:

1. attempts to gain unauthorized access to the Site, or helping others do so,
2. getting around software security features that limit use of or protect any Content,
3. discontinuance or material change of the Site or any service offered on or through the Site,
4. violations of these Terms of Use,
5. failure to pay for purchases,
6. suspected or actual copyright infringement,
7. unexpected operational difficulties, or
8. requests by law enforcement or other government agencies.

You agree that Majool.co will not be liable to you or to any third party for ending your access to the Site.

3. Consent to Communication by E-Mail

By creating a My Account or placing an order through the Site, you give Majool.co permission to contact you at your e-mail address about your account and orders.

4. Conditions of Sale

The Site serves both business and individual customers. To buy goods or services on the Site, you must (a) be at least eighteen (18) years old or the age of majority in your state, (b) buy for yourself or as an authorized representative of a business, school, government agency or other organization, and (c) have a delivery address in the 48 contiguous United States or the District of Columbia. We do not ship to Alaska, Hawaii, U.S. territories or APO/FPO addresses. See our Shipping Policy for details.

Before you buy, you must provide valid payment information. By submitting it, you authorize us to charge your payment method for your order, within thirty (30) days of authorization.

5. Methods of Payment and Taxes

We accept the payment methods shown at checkout, which may include major credit cards, government purchase cards and other options. Majool.co may add or remove payment methods at its sole discretion. If you use any payment method, you agree to the terms of that payment method. Your card issuer's agreement governs your use of your card, and you must refer to that agreement, not these Terms of Use, for your rights and liabilities as a cardholder. You, and not Majool.co, are responsible for paying any unauthorized amounts billed to your payment method by a third party.

You agree to pay all fees and charges for your purchases, including any applicable taxes, at the rates in effect when the charges were made. Unless you notify Majool.co of a discrepancy within sixty (60) days after it first appears on your statement, you agree that the charge is accepted. If Majool.co does not receive payment from your card issuer or payment provider, you agree to pay all amounts due upon demand. Majool.co collects sales tax where required by law, based on the delivery address. Tax-exempt organizations may contact us to provide an exemption certificate.

6. Order Acceptance

An order confirmation by e-mail or otherwise does not mean that we have accepted your order or confirmed our offer to sell. Majool.co may accept or decline any order for any reason after receiving it, and may supply less than the quantity you ordered, without prior notice. Your order is accepted when we ship the products or perform the services you ordered. Title to goods passes to you upon delivery to the carrier. Orders over $1,000.00 (U.S.) may require pre-approval with an acceptable payment method, as set by our credit and fraud prevention team. We may ask for additional verification or information before accepting any order.

7. Pricing Errors

Majool.co may refuse or cancel any order for products or services listed at an incorrect price, rebate or refund, or with any other incorrect information or typographical error, whether or not the order has been confirmed and your payment method charged. If you have already been charged and your order is canceled, Majool.co will promptly refund the charge to your original payment method.

8. Changes to Prices or Billing Terms

Majool.co may change its prices and billing methods for products or services at any time, effective immediately upon posting on the Site or by e-mail to you.

9. Returns and Service and Support

Returns are handled under our Return Policy. All requests for technical service and support should be made directly to the manufacturer under its terms and conditions. See our Manufacturer Support page for contacts.

10. Indemnification

You agree to indemnify and hold harmless Majool.co and its parents, sister companies, subsidiaries, affiliates, service providers, other End Users, distributors, licensors, officers, directors and employees from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of or related to your violation of these Terms of Use, or your violation of any law, regulation or third-party right.

11. Disclaimer of Warranties

THE SITE, PRODUCTS, SERVICES, CONTENT, SOFTWARE, ARTWORK, DATA AND INFORMATION ARE PROVIDED "AS IS." PRODUCTS ARE COVERED BY THE MANUFACTURER'S WARRANTY, AND RETURNS ARE HANDLED UNDER OUR RETURN POLICY. EXCEPT AS EXPRESSLY STATED HEREIN, MAJOOL.CO DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, AS TO ANY MATTER RELATING TO OR REFERENCED BY THE SITE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, QUALITY OF DATA, FITNESS FOR A PARTICULAR PURPOSE, SUITABILITY, TITLE, NON-INFRINGEMENT, LACK OF VIRUSES OR CORRESPONDENCE TO DESCRIPTION.

12. Limitation of Liability

THE ENTIRE RISK ARISING OUT OF THE USE OF THE SITE, THE USE OF ANY PRODUCTS AND/OR SERVICES OFFERED ON OR IN CONNECTION WITH THE SITE, AND/OR THE USE OF ANY CONTENT REMAINS WITH YOU. IN NO EVENT SHALL MAJOOL.CO OR ITS LICENSORS OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR OTHER PECUNIARY LOSS) ARISING OUT OF THESE TERMS OF USE OR THE USE OF OR INABILITY TO USE ANY PRODUCTS, SERVICES OR CONTENT, THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE PRODUCTS OR SERVICES, OR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF MAJOOL.CO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING ELSE IN THESE TERMS OF USE OR POSTED ON THE SITE, MAJOOL.CO'S MAXIMUM LIABILITY IS LIMITED TO THE AMOUNTS ACTUALLY PAID TO MAJOOL.CO BY THE END USER. ORDER INFORMATION, SUCH AS A BILLING OR SHIPPING ADDRESS, THAT IS INACCURATE OR INCOMPLETE MAY CAUSE DELAYS THAT ARE NOT THE RESPONSIBILITY OF MAJOOL.CO. YOU AGREE THAT THE LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES AND LIMITED REMEDIES SET FORTH HEREIN REPRESENT AN INSEPARABLE ALLOCATION OF RISK (INCLUDING IN THE EVENT OF A TOTAL AND FUNDAMENTAL BREACH OF THESE TERMS OF USE) THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

13. General

No delay or failure to take action under these Terms of Use waives any provision of these Terms of Use. If any provision is invalid or unenforceable under applicable law, it will be enforced to the fullest extent possible (or removed if it cannot be enforced at all), and the other provisions will remain in full force and effect. These Terms of Use bind and benefit Majool.co's permitted successors and assigns. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises. These Terms of Use are governed by the laws of the State of California, without regard to its conflict of laws provisions. You consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. These Terms of Use are personal to you and may not be transferred, assigned or delegated by you; any attempt to do so is void. Majool.co may assign these Terms of Use without consent or notice. These Terms of Use, together with our Return Policy, Shipping Policy and Privacy Policy, are the complete agreement between Majool.co and you on this subject, and replace all prior oral or written understandings, communications or agreements.
